License Agreement for Home Infusion and Skilled Nursing Services

This License Agreement (the “Agreement”) is entered into on this [Date] (the “Effective Date”) between [Your Company Name], a [Your Jurisdiction] corporation, with its principal place of business at [Your Address] (hereinafter referred to as the “Licensor”), and the individual or entity accepting these terms (hereinafter referred to as the “Licensee”).

1. Grant of License

Subject to the terms and conditions of this Agreement, the Licensor hereby grants the Licensee a non-exclusive, non-transferable license to access and use the home infusion and skilled nursing services provided by the Licensor (the “Services”) for the Licensee’s personal use or for the use of the Licensee’s patients, as applicable.

2. Use of Services

The Licensee agrees to use the Services solely for the purpose of receiving home infusion therapy and skilled nursing care for eligible patients. The Licensee shall not use the Services for any other purpose or in any manner that violates applicable laws or regulations.

3. Restrictions

The Licensee shall not: (a) sublicense, sell, rent, lease, distribute, or otherwise transfer the Services to any third party; (b) modify, reverse engineer, decompile, or disassemble the Services; (c) use the Services to provide similar services to others; (d) use the Services in any way that may compromise patient privacy or confidentiality; (e) use the Services in a manner that could disrupt the operations or integrity of the Licensor’s systems; (f) use the Services to engage in any illegal, harmful, or unethical activities.

4. Intellectual Property

The Licensor retains all right, title, and interest in and to the Services, including any intellectual property rights associated with them. The Licensee acknowledges that this Agreement does not grant any ownership rights or proprietary interest in the Services.

5. Fees and Payments

In consideration for the use of the Services, the Licensee agrees to pay the fees as outlined in a separate billing agreement or as communicated by the Licensor. Failure to pay fees may result in suspension or termination of access to the Services.

6. Termination

Either party may terminate this Agreement with or without cause by providing written notice to the other party. Upon termination, the Licensee’s access to the Services will be immediately revoked, and the Licensee shall cease all use of the Services.

7. Indemnification

The Licensee agrees to indemnify, defend, and hold the Licensor harmless from and against any claims, liabilities, damages, losses, or expenses arising out of or related to the Licensee’s use of the Services or any violation of this Agreement.

8. Limitation of Liability

The Licensor shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the Licensee’s use of the Services or this Agreement.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction]. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of [Your Jurisdiction].

By accessing and using the Services, the Licensee acknowledges that they have read, understood, and agreed to the terms and conditions of this License Agreement. If the Licensee does not agree with these terms, they should not access or use the Services.
